Terms of Service

1. Who we are and what these Terms cover

Requify (the "Service") is owned and operated by Array Dynamic FZE LLC, CWS-1V-229383, 26th Floor, Amber Gem Tower, Ajman, United Arab Emirates, trade licence and registration no. 2629619548888 ("we", "us"). These Terms are the agreement between us and you as a user of the Service, on the Free plan and on paid plans.

You are a business customer if you use the Service for your trade, business or profession, or on behalf of an organization. You are a consumer if you use it mainly for private purposes, for example as a student. Where these Terms treat the two differently, they say so. Nothing in these Terms limits rights that consumers have under mandatory law.

If you accept these Terms on behalf of an organization, you confirm that you are authorized to do so, and "you" includes that organization.

2. The Service

Requify is a platform to write, structure, review, version and export requirements and documentation, alone or in a team. The features of each plan are described on our website at the time you choose the plan.

AI features (for example drafting, translation and quality checks) produce suggestions. They can be incomplete or wrong; you decide what to use and remain responsible for your documents. Which AI providers process your text is described in our Privacy Policy.

We develop the Service continuously and may change or remove features. During a paid period we will not remove a feature that is a main part of your plan without offering an equivalent or a pro-rata refund.

3. Accounts

• Give accurate information when you register and keep it up to date.
• Keep your sign-in credentials confidential. You are responsible for activity in your account; tell us at once if you suspect misuse.
• You must be at least 16 years old.
• The owner of an organization decides who joins it and with which role, and is responsible for the members they invite.

4. Plans, prices and payment

• The Free plan costs nothing. Paid plans are billed in advance, monthly or yearly, at the price shown when you subscribe.
• Payments are processed by Stripe. Prices are stated with or without applicable taxes as shown at checkout.
• If we offer a free trial, its length and what happens when it ends are shown when you start it.
• We may change prices for future billing periods. We tell you at least 30 days before the change takes effect for you; you can cancel before it does.

5. Cancellation and refunds

You can cancel a paid plan at any time in your billing settings. The cancellation takes effect at the end of the current billing period; until then you keep your paid features. Your account then continues on the Free plan.

Fees already paid are not refunded for partial periods, except where the law requires it, under the right of withdrawal (section 6) or as service credits under our Service Level Agreement.

6. Right of withdrawal for consumers

If you are a consumer in the European Union, the European Economic Area, Switzerland or the United Kingdom, you have the following right of withdrawal for paid plans.

7. Acceptable use

You agree not to:

• break any law or infringe the rights of others, including intellectual property rights;
• upload malicious code or try to gain unauthorized access to the Service, other accounts or our systems;
• overload, disrupt or reverse-engineer the Service, or scrape it with automated tools outside our published API;
• harass or harm other users;
• resell the Service or give third parties access to it without our written consent.

8. Your content

You keep all rights to the content you create or upload ("Your Content"). You give us a limited licence to store, copy, process and display Your Content only as needed to provide the Service to you and the people you share it with, including processing by the sub-processors named in our Privacy Policy.

You are responsible for having the rights to Your Content. You can export your documents at any time with the export functions of the Service.

9. Our rights

The Service, its software, design and brand belong to Array Dynamic FZE LLC or its licensors. These Terms give you a right to use the Service, not ownership of it.

10. Data protection

How we process personal data is described in our Privacy Policy. Business customers who need a data processing agreement: our Data Processing Agreement applies to personal data they store in the Service.

11. Availability

On the Free plan we provide the Service as available, without an availability commitment. For paid plans, our Service Level Agreement applies and forms part of these Terms.

12. Warranty and liability

Consumers have the statutory rights for defects that the law of their country gives them. For business customers, the Service is provided "as is" to the extent permitted by law, apart from the commitments in the Service Level Agreement.

We are liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body or health, for fraud, and wherever liability cannot be limited by law.

Otherwise, towards business customers: we are not liable for indirect or consequential damage, lost profits or lost business, and for loss of data only to the extent it would not have been avoided by regular exports or backups on your side; our total liability per contract year is limited to the fees you paid us in the 12 months before the event.

13. Indemnity (business customers)

Business customers will indemnify us against third-party claims that arise from Your Content or from use of the Service in breach of these Terms, including reasonable costs of legal defence.

14. Suspension and termination

• You can delete your account at any time in your settings.
• We can end a Free account with 30 days' notice, and a paid plan at the end of its billing period with 30 days' notice.
• We can suspend or end an account immediately for a serious breach of these Terms, or where needed to protect the Service or other users. Where reasonable, we warn you first.
• When an account ends, we give you a reasonable opportunity to export your documents, unless the law or a serious breach prevents it.

15. Changes to these Terms

We may update these Terms, for example for new features or legal requirements. We tell you about material changes at least 30 days before they take effect, by email or in the Service. If you do not agree, you can cancel before they take effect. Where the law requires your consent to a change, we will ask for it.

16. Governing law and courts

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Ajman. For business customers, the courts of Ajman, United Arab Emirates, have exclusive jurisdiction.

If you are a consumer, this choice of law does not deprive you of the protection of the mandatory provisions of the law of the country where you live, and you can bring proceedings in the courts of that country.

17. Final provisions

• These Terms, the Service Level Agreement and the Privacy Policy are the entire agreement about the Service.
• If a provision is invalid, the rest stays in force.
• Not enforcing a right is not a waiver of it.
• We may transfer this agreement to a company that takes over the Service; we will tell you, and you can cancel if you do not agree.
• These Terms are written in English. Translations are for convenience; the English version prevails.
